Terms of Service

1. Eligibility

You must be at least 18 years old and authorized to bind the business you represent to use the Services.

2. The Services

Orvelo Solutions provides AI-powered receptionist services that answer calls, respond to messages, book consultations, and follow up with leads on behalf of our clients. Specific deliverables, integrations, and service levels are described in your individual order or agreement with us.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate business information needed to configure the Services.
• Comply with all applicable laws, including those governing call recording, SMS messaging (e.g., TCPA), HIPAA where applicable, and consumer protection.
• Provide appropriate disclosures and obtain caller consents where required by law in the jurisdictions you operate in.
• Maintain accurate booking calendars, hours of operation, and any third-party credentials you provide to us.
• Pay all fees on time per your order or agreement.

4. Fees & Payment

Fees, billing frequency, and payment terms are set out in your individual agreement. Unless otherwise stated, fees are non-refundable. Late payments may result in suspension of the Services.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Send spam, deceptive messages, or unsolicited marketing in violation of law.
• Infringe the intellectual property or privacy rights of others.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Services.

6. Intellectual Property

We retain all right, title, and interest in the Services, including all software, models, prompts, workflows, and documentation. You retain ownership of your business data and content. You grant us a limited license to use your data solely to provide and improve the Services.

7. AI Output Disclaimer

The Services use artificial intelligence to generate responses, summaries, and bookings. AI output may be incomplete or inaccurate. You are responsible for reviewing AI-generated content before relying on it for clinical, legal, or financial decisions.

8. Confidentiality

Each party agrees to protect the other's non-public business information with the same level of care it uses for its own confidential information, and not to disclose it except as needed to perform under these Terms or as required by law.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Orvelo Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Orvelo Solutions from any third-party claims arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

12. Termination

Either party may terminate the Services in accordance with the terms of your individual agreement. We may suspend or terminate the Services immediately if you breach these Terms or fail to pay fees when due.

13. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute will be brought exclusively in the state or federal courts located in Orange County, Florida.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
